Terms &
Conditions.
Clear, plain-English terms governing all work between you and Creatiloom Ltd. No surprises.
1. About Us
These Terms and Conditions govern all services provided by Creatiloom Ltd, a company registered in England and Wales. By commissioning any service from Creatiloom Ltd — whether verbally, by email, or in writing — you agree to these terms in full.
For any questions regarding these terms, contact us at hello@creatiloom.com.
2. Scope of Services
Creatiloom Ltd provides web design and development, brand identity, SEO and content strategy, and digital strategy services. The specific deliverables, timeline, and investment for each project are agreed in writing before work begins — either via a proposal, quote, or email confirmation.
Any additional work outside the agreed scope will be quoted separately and requires written approval before being undertaken.
3. Rate Structure
In exceptional circumstances — such as projects with undefined or evolving scope — a day rate arrangement may be considered. This must be discussed, agreed, and formally confirmed in writing by both parties before work commences. Day rate engagements will not be assumed or applied retroactively.
4. Payment Terms
Invoices are issued at the start of the project (deposit) and upon completion (final balance). Payment is due within 14 days of the invoice date unless otherwise agreed in writing.
Late payments (beyond 14 days) may incur interest at 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. Creatiloom Ltd reserves the right to pause or suspend delivery of work if an invoice remains unpaid beyond its due date.
All prices are quoted in British Pounds Sterling (GBP) and are exclusive of VAT unless stated otherwise.
5. Deposit & Cancellation Policy
The 50% deposit is non-refundable under all circumstances. It secures your project slot and covers the initial research, planning, and preparation work carried out before any deliverables are shared.
If you wish to cancel a project after work has begun:
- The deposit is retained in full by Creatiloom Ltd.
- If work beyond the deposit stage has been completed, an invoice for that work will be issued at our standard day rate, up to (but not exceeding) the total project fee.
- Cancellation must be communicated in writing by email to hello@creatiloom.com.
Creatiloom Ltd reserves the right to cancel a project if a client is unresponsive for more than 30 consecutive days without prior agreement. In this case, the deposit is retained and any completed work remains the property of Creatiloom Ltd until the outstanding balance is settled.
6. Revisions
Each project includes three rounds of revisions within the agreed scope. A revision round is defined as a single consolidated set of feedback provided by the client in response to a deliverable.
Revisions beyond the three included rounds will be scoped and quoted as additional work before being undertaken. Creatiloom Ltd will always notify you before any additional charges apply.
Revision rounds do not carry over between project phases. Significant changes to the original brief — such as changes to core direction, brand strategy, or functionality requirements — are considered new scope and will be quoted separately.
7. Client Responsibilities
To deliver your project on time and to the agreed standard, we rely on your timely co-operation. You agree to:
- Provide all required content (text, images, logos, login credentials) within the agreed timeframe.
- Provide clear, consolidated feedback at each revision stage within 7 business days of receiving a deliverable.
- Designate a single point of contact with authority to approve decisions on behalf of your business.
- Ensure that any materials you supply (images, text, trademarks) do not infringe third-party intellectual property rights.
Delays caused by late feedback, missing content, or lack of communication may result in timeline adjustments. Creatiloom Ltd is not liable for missed deadlines caused by client delays.
8. Intellectual Property
All work created by Creatiloom Ltd — including designs, code, copy, and strategy documents — remains the intellectual property of Creatiloom Ltd until the final invoice is paid in full.
Upon receipt of full payment, ownership of the agreed final deliverables transfers to the client. Creatiloom Ltd retains the right to display completed work in its portfolio and use it in marketing materials unless otherwise agreed in writing.
Creatiloom Ltd may use third-party fonts, stock imagery, or open-source code within projects. Any associated licences are the client's responsibility to maintain after project handover.
9. Website Hosting & Third-Party Platforms
Creatiloom Ltd does not provide website hosting unless explicitly included in the agreed project scope. Hosting, domain registration, and third-party platform subscriptions (such as Shopify, Webflow, Mailchimp, or similar) are the client's responsibility unless otherwise agreed.
Creatiloom Ltd is not liable for issues, outages, or data loss caused by third-party hosting providers, platforms, or services.
10. Post-Launch Support
Where included in a package, post-launch support covers minor content updates and bug fixes for the agreed period (typically 30 days). It does not cover new features, design changes, or issues caused by client modifications to the site after handover.
Ongoing support beyond the included period is available as a separate monthly retainer.
11. Confidentiality
Both parties agree to keep confidential any sensitive business information shared during the course of a project. Creatiloom Ltd will not share your confidential business information with third parties without your written consent, except where required by law.
12. Limitation of Liability
Creatiloom Ltd's total liability to any client in connection with any project shall not exceed the total fees paid for that project.
Creatiloom Ltd is not liable for any indirect, consequential, or loss-of-business damages arising from the use — or inability to use — any deliverable, including but not limited to loss of revenue, loss of data, or loss of reputation.
While every effort is made to ensure deliverables are accurate and functional, Creatiloom Ltd does not guarantee specific search engine rankings, business results, or revenue outcomes as a result of any service provided.
13. SEO & Marketing Services
Search engine optimisation and digital marketing services involve factors outside Creatiloom Ltd's control, including search engine algorithm changes, market competition, and platform policy updates. Results are not guaranteed within a specific timeframe.
Creatiloom Ltd will always act in good faith, applying best-practice methodologies and transparent reporting. Any projections or timelines provided are estimates, not guarantees.
14. Governing Law
These Terms and Conditions are governed by the laws of England and Wales. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Creatiloom Ltd will always attempt to resolve any disputes directly and in good faith before any formal action is taken.
15. Changes to These Terms
Creatiloom Ltd reserves the right to update these Terms and Conditions at any time. Any changes will be published on this page with an updated date. Continued engagement with our services after changes are published constitutes acceptance of the updated terms.
